No, you can access this product even if you aren’t on the Carta Fund Administration platform.

Institutional SPVs are formed as a Delaware LLC or LP entity with you as the Manager/General Partner. Carta will work with you and a registered agent to obtain your EIN and form your SPV.

Carta will also take care of your filing fee, first-year registered agent fee, and annual franchise tax and registered agent fees for as long as you’re on the platform. You can also access quarterly reporting, tax preparation, audit support, and other add-ons for an additional cost.

Audit support is available as an add-on service. With audit support, you can complete audit notes and financial statements directly on the platform. Carta will also provide your auditor with books, records, and any necessary supporting documentation.

Carta will provide books, records, and supporting documentation to your tax preparer in addition to distributing K-1s prepared by your tax provider to your LPs through the Carta platform.
